{"id":19455,"date":"2019-05-22T10:02:35","date_gmt":"2019-05-22T10:02:35","guid":{"rendered":"https:\/\/www.skydivemag.com\/new\/?page_id=19455"},"modified":"2019-05-23T10:08:13","modified_gmt":"2019-05-23T10:08:13","slug":"advertising-terms","status":"publish","type":"page","link":"https:\/\/www.skydivemag.com\/new\/advertising-terms\/","title":{"rendered":"Advertising Terms"},"content":{"rendered":"\n<p><strong>These terms and conditions govern the terms under which Skydive Mag (&#8216;We&#8217; or &#8216;we&#8217;) sell advertising space (&#8216;Space&#8217;) to Advertisers in our website (&#8216;Site&#8217;) at&nbsp;<\/strong><a href=\"http:\/\/www.skydivemag.com\/\"><strong>www.skydivemag.com<\/strong><\/a><strong>.<\/strong><\/p>\n\n\n\n<h2 class=\"wp-block-heading\">1. Scope<\/h2>\n\n\n\n<p>By purchasing and\/or placing an Advertisement or Campaign, the\nAdvertiser agrees to be bound by all the terms and conditions (&#8216;Agreement&#8217;), as\nset out below in clauses 1-13 of this document. This Agreement applies in\naddition to, and in conjunction with our general&nbsp;<a href=\"http:\/\/www.skydivemag.com\/terms?terms=TERMS_OF_SERVICE\">Terms<\/a>. By purchasing Advertisements on our Site, all\nAdvertisers confirm their agreement to these&nbsp;<a href=\"http:\/\/www.skydivemag.com\/terms?terms=TERMS_OF_SERVICE\">Terms<\/a>.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">2. Rights of Removal<\/h2>\n\n\n\n<p>All Advertisements are subject to Skydive Mag\u2019s approval. We personally\ninspect every Advertisement before uploading to the Site and reserve the right\nto decide whether the Content of the Advertisement (&#8216;Content&#8217;) is appropriate\nand complies with our&nbsp;<a href=\"http:\/\/www.skydivemag.com\/terms?terms=TERMS_OF_SERVICE\">Terms<\/a>&nbsp;and does not violate common decency,\nintellectual property, pornography or defamatory material laws. We reserve the\nright to refuse, remove and\/or cancel any Advertisement at any time, without\nliability and without prior notice. We reserve the right to label\nAdvertisements as such, for absolute clarity of the user, and to underline that\nwe do not endorse the Content. We reserve the right to modify any Advertisement\nor its placement, without giving a reason, and without prior notice.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">3. Payment, Refund and Cancellation Policy<\/h2>\n\n\n\n<p>Advertisements are purchased either as (a) Recurring Monthly Subscriptions\nby our regular Advertisers, to run an ongoing Campaign of multiple advertisements\nor (b) a Single Advertisement, normally placed next to relevant editorial. <\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>For a <strong>Recurring Monthly Subscriptio<\/strong>n, the amount agreed by the Advertiser will be charged every month to their payment card automatically until or unless the Advertiser cancels the Campaign. The first payment is taken after Advertisements for the Campaign have been uploaded to the Site, when the Advertiser will be emailed a payment link to set up the monthly subscription by securely entering their own credit card details. If the Advertiser\u2019s payment method subsequently fails, Skydive Mag may take steps to collect due amounts using other collection mechanisms. The Advertiser agrees to pay all expenses associated with such collection, including reasonable legal fees.<\/li><\/ul>\n\n\n\n<p>The Advertiser can cancel the Monthly Subscription at any time without penalty by contacting us. Cancellation will be immediate and no further monthly payments will be taken, unless notice of cancellation is within 5 days of the next due payment date, in which case this payment will be taken as the last. In the event of cancellation, no refund shall be given. The Campaign and its Advertisements will continue to run until the next monthly due payment date, when all Advertisements from this Advertiser will be removed from the Site.  <\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>For a <strong>Single Advertisemen<\/strong>t the agreed budget is due upon completion of the order and the Advertisement being uploaded to the site. Once purchased, such Advertisements are non-refundable. If the Advertiser chooses to cancel the promotion, the full amount is still due.<\/li><\/ul>\n\n\n\n<p>Payments for Monthly Recurring Subscriptions and Single Advertisements\nare not taken on our Site. They are made separately via a third-party payment\nprovider, World Pay, either by entry of the Advertiser\u2019s credit card details by\nSkydive Mag, or personally by the Advertiser via an emailed payment link from\nWorld Pay, created by Skydive Mag Limited. World Pay securely stores the\nAdvertiser\u2019s credit card and personal information. Skydive Mag do not store any\ncredit card information and are not responsible for any security breach of your\ninformation via World Pay.<\/p>\n\n\n<p><script language=\"JavaScript\" src=\"https:\/\/secure.worldpay.com\/wcc\/logo?instId=1347088\"><\/script><\/p>\n\n\n\n<p>Payments can be made in US Dollars or GB Pounds and the\nfollowing payment types are accepted: Visa, Mastercard, Maestro and JCB.<\/p>\n\n\n\n<p>The Advertiser will receive a private, secure log-in to a third party website, <a href=\"http:\/\/www.AdButler.com\">www.AdButler.com<\/a>, which will provide data about views and clicks associated with his Campaigns and\/or Advertisement(s). The Advertiser is responsible for maintaining the security of his account and shall not share or disclose passwords to any third party, nor allow any third party to use the password to gain access to the areas and services for registered Advertisers. Skydive Mag Limited will provide Advertisers with a monthly report of exposure, including views and clicks on their Campaign. Ongoing figures are available for Advertisers at any time by logging into their AdButler account.<\/p>\n\n\n\n<p>If Skydive Mag chooses to withdraw an Advertisement as set out\nin clause 2 above, it may or may not, in its absolute discretion, elect to\nperform a partial refund to the Advertiser, of the amount paid by the\nAdvertiser, less charges for administration and any time already run.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">4. Content and Responsibilities<\/h2>\n\n\n\n<p>The Advertiser (and\/or Agency on behalf of the Advertiser)\nrepresent and warrant that: (a) they have the right to place the Advertisement\non the Site; (b) the Content of the Advertisement does not violate intellectual\nproperty, confidentiality, proprietary, privacy, property, or contract rights\nof any person or entity; (c) the Content does not defame or disparage any\nperson or entity; and (d) the Content is not sexual, obscene, pornographic or\noffensive; and (e) the Content does not violate any known law, rule, or\nregulation (f) the Content does not promote, sell, advertise or facilitate any\nof the following; gambling; weapons, ammunition and explosives; rogue software;\nunacceptable business models; drugs, recreational drugs, including alcohol,\ntobacco and all associated paraphernalia; sexual toys, including but not\nlimited to videos, toys, publications, live shows; adult dating sites; illegal\nactivities.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">5. Third-Party Agents<\/h2>\n\n\n\n<p>In the event an Advertisement is entered by an Advertising\nAgency or Third-Party on behalf of an Advertiser, this party represents and\nwarrants that it has the full right and authority to place the Advertisement on\nbehalf of the Advertiser and that all legal obligations arising out of the\nplacement of the advertising creative are binding on both the Advertiser and\nthe Advertising Agency.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">6. Advertisement Content and Function<\/h2>\n\n\n\n<p>Skydive Mag makes no warranties with respect to the quality of\nthe appearance of the Advertisement, nor the accuracy, decency, or legality of\nthe Content. This is solely the responsibility of the Advertiser and\/or Agency.\nNotwithstanding the above, all Advertisements supplied by the Advertiser are\npersonally checked by Skydive Mag before they are uploaded and displayed on our\nSite, and hyperlinked to the URL supplied. Skydive Mag will place\nAdvertisements next to relevant editorial, to maximise response and improve the\nuser experience. <\/p>\n\n\n\n<p>The Advertiser assumes any and all liability for the\nAdvertisement and its Content. All components of an Advert, including any text,\nimages, or other media, must be relevant and appropriate to the product or\nservice being offered and the readership. Adverts may not contain audio or\nflash animation that plays automatically or expands within Skydive Mag when\nclicked.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">7. Limit of Liability<\/h2>\n\n\n\n<p>In no event shall Skydive Mag be liable as the result of any\nerror, delay, or omission beyond our reasonable control, including any fire,\nact of god, labour strike, war, civil insurrection, or the like. Skydive Mag\u2019s\nliability, if any, relating to any omission of, error in, delay to, removal of,\nor positioning amendment to the Advertisement on the Site shall not exceed the\namount actually paid by Advertiser and\/or Agency for the Space, and in no event\nshall Skydive Mag be liable for any loss of income, indirect damages,\nconsequential damages, or punitive damages of any nature. In no event shall Skydive\nMag be liable, directly or indirectly, for the Content of any Advertisement;\nthis is solely the responsibility of the Advertiser or Agency.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">8. Confidentiality<\/h2>\n\n\n\n<p>Neither party shall release any non-public information regarding\nthis Agreement, or any contract, or the Parties\u2019 relationship without the other\nparty\u2019s prior written consent. This prohibition shall apply fully to press\nreleases, promotional announcements, merchandising materials, and the like.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">9. Indemnity<\/h2>\n\n\n\n<p>The Advertiser shall indemnify, defend, and hold harmless Skydive\nMag and any parent organisation, subsidiary, publisher or affiliate, and their\nrespective officers, directors, employees and agents from and against any and\nall third party claims, costs, damages, losses, liabilities and expenses\n(including legal fees and costs) arising out of or in connection with: (a) a\nclaim arising from a breach by Advertiser of any provision of this Agreement;\nand\/or (b) any third party claim alleging that an Advertisement infringes\nintellectual property, publicity or privacy rights, or other rights of such\nthird party; and\/or (c) any third party claim alleging the Content violates\ndecency, pornography, defamatory material, or any other laws.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">10. Tax and Tax Liability<\/h2>\n\n\n\n<p>The location and nature of the Advertiser determines whether Skydive\nMag is obliged to charge the Advertiser for VAT (Value Added Tax). British VAT,\ncurrently 20%, will be charged to all customers from the United Kingdom (UK)\nand any non-business customers.<\/p>\n\n\n\n<p>Business customers outside the European Union (EU) will not be\ncharged VAT. Business customers outside the UK but within the EU can order\nVAT-free if they: (a) provide a valid EU VAT number doing the order process;\nand (b) confirm they are buying advertisements for a business purpose, ie, with\nthe aim of an economic benefit.<\/p>\n\n\n\n<p>The amounts charged to the Advertiser by Skydive Mag may be\nsubject to taxes, including without limitation VAT and withholding taxes. If\nthe Advertiser was not charged VAT, the Advertiser may be required to\nself-assess VAT at the applicable country rate. It is the Advertiser\u2019s sole\nresponsibility to remit any taxes that apply to the Advertiser\u2019s transactions.\nThe Advertiser agrees to indemnify and hold Skydive Mag harmless from and\nagainst any claim arising out of any failure to do so.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">11. Sponsored Editorial Content<\/h2>\n\n\n\n<p>Skydive Mag may work together with an Advertiser\nto create relevant, interesting editorial content that obliquely promotes the\nAdvertiser\u2019s products, services, sponsored athletes, staff or activities. The Editor\nof Skydive Mag has absolute editorial control over the text, images, video and any\nmedia used in such content, in order to maintain the magazine\u2019s integrity and\navoid bias.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">12. Miscellaneous<\/h2>\n\n\n\n<p>The Parties are independent contractors and are not partners,\njoint venturers or otherwise affiliated. The terms and provisions of this\nAgreement shall be binding upon the Parties hereto and, each of their\nrespective personal representatives, successors and assigns. This Agreement\ncontains the final and entire agreement between the Parties and is intended to\nbe an integration of all prior agreements between them. Skydive Mag shall not\nbe bound to any terms or conditions not set forth herein. No failure by either\nparty to insist upon the strict performance of any term, agreement or provision\nof this Agreement or to exercise any right consequent upon a breach thereof\nshall constitute a waiver of any such breach or of any such term, agreement or\nprovision. No term, covenant or provision of this Agreement and no breach\nthereof shall be waived, altered or modified except by a written amendment\nexecuted by the parties. In the event that any clause or provision of this\nAgreement (or the application of such clause or provision to a particular set\nof circumstances) is held or declared to be invalid, illegal or unenforceable,\nsuch holding or declaration shall not in any way affect the validity or\nenforceability of any other clause of this Agreement, nor the application of\nsuch clause to a different set of circumstances.<\/p>\n\n\n\n<p>The rights and remedies of Skydive Mag under this Agreement are\nindependent, cumulative and without prejudice to its rights under the law. This\nAgreement is not intended to create and shall not create any rights,\nentitlements, claims or benefits enforceable by any third party by virtue of\nthe Contracts (Rights of Third Parties) Act 1999. This Agreement and\/or and\npurchase of Advertisements or Campaigns on the Site shall be governed by and\nconstrued in accordance with English law and the English Courts shall have\nexclusive jurisdiction over any dispute that may arise.<\/p>\n\n\n\n<p>We may occasionally update this Agreement as necessary. We\nrecommend that you check regularly, to be sure you are aware of and understand\nour current policy. You will be deemed to have agreed to be bound by any\nupdated Agreement whenever you purchase Space on the Site.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">13.
